ClearBench provides sanctions screening audit and benchmarking services, including the generation of contextual test datasets, analysis of screening performance, and comparison against industry benchmarks.

3. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• Access and use our platform for your internal business purposes
• Download and use benchmark datasets for testing your sanctions screening systems
• Receive and use analysis reports generated by our service

You may not sublicense, sell, or redistribute our datasets or reports to third parties without our prior written consent.

4. User Obligations

You agree to:

• Provide accurate and complete information when using our services
• Maintain the security of your account credentials
• Use our services only for lawful purposes and in compliance with all applicable regulations
• Not attempt to reverse engineer, decompile, or extract our proprietary methodologies
• Not use our services to develop competing products or services

5. Intellectual Property

All content, features, and functionality of our service, including but not limited to test datasets, methodologies, analysis algorithms, and reports, are owned by ClearBench and protected by international copyright, trademark, and other intellectual property laws.

6. Data You Provide

You retain all rights to the screening test results you upload to our platform. By uploading data, you grant us a license to process, analyze, and use this data (in anonymized, aggregated form) to improve our services and provide industry benchmarking.

7. Payment Terms

Fees for our services are as specified in your subscription or order. Payment terms include:

• All fees are exclusive of applicable taxes
• Payment is due in accordance with the billing frequency selected
• We reserve the right to suspend access for non-payment
• Refunds are provided only as specified in your service agreement

8. Disclaimers and Limitations

Our services are provided "as is" without warranties of any kind. Specifically:

• We do not guarantee that our test datasets will identify all weaknesses in your screening systems
• Our benchmark data is based on anonymized, aggregated results and may not reflect all industry participants
• We are not responsible for decisions you make based on our reports and recommendations
• Our maximum liability to you for any claims arising from our services shall not exceed the fees you paid in the 12 months preceding the claim

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the provision of services. This obligation survives termination of the agreement.

10. Term and Termination

These Terms remain in effect until terminated. Either party may terminate with written notice as specified in your service agreement. Upon termination, your right to use our services ceases immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or through our platform. Your continued use of our services after such changes constitutes acceptance of the new Terms.
